founding rules

Throughout our 140+ year history, the bylaws have (thankfully) evolved, however the original rules reflected the time they were established:

This Association shall be known as the Science and Art Club of Germantown.

Its object shall be, by social gatherings at the houses of members and by discourses, essays or conversation to promote intellectual culture in the departments of Science, Art and Literature.

The number of members shall be limited to fifty and shall consist of gentlemen of Germantown and vicinity who are interested in its objects.

There shall be a President, a Vice-President (neither of whom shall serve longer than two successive years), a Secretary and a Treasurer who shall attend to the duties usually appertaining to such officers. They shall annually be elected by the Club, at the last meeting of each season, and shall hold office until their successors are elected.

The Executive Committee shall consist of the President and Secretary and three members of the Club, to be appointed by the President, at or after the last meeting of the season. Said Committee shall have general supervision of the affairs of the Club and shall assign the meetings to be held to members in rotation, which assignments may be made on or before the fifteenth day of October in each year.

The names of gentlemen desiring membership shall be handed to the Nominating Committee, who, at their discretion, shall place such names upon the list of nominees, and report such action to the Club at its next regular meeting for entry upon the minutes. At any subsequent regular meeting of the Club, the Committee may, as vacancies occur, report such names for election, and no one shall be elected who has not been nominated to the Club by the Committee at a previous meeting. All elections shall be by ballot. Two adverse votes shall defeat any election. The Nominating Committee shall consist of the officers of the Club and three other members, to be annually appointed.

Meetings shall be held on every alternate Monday evening, commencing on the third Monday of November and ending with the first meeting in April, except when otherwise ordered, in rotation, at the houses of the members designated by the Executive Committee; said Committee may, in its discretion, authorize meetings elsewhere than at the houses of the members for proper cause.

The host of the evening shall make arrangements for the intellectual entertainment of the evening, and shall provide one or more essays or discourses on subjects within the scope of the Association. The Executive Committee shall, if needful, assist him therein. The member entertaining the Club shall send notices of the meeting to the members, including the wives of such as are married.

The receiving member shall have the privilege of inviting a limited number of friends to meet the Club, and each member may bring with him one person (lady or gentleman).

The refreshments shall be limited to ice cream, coffee, chocolate, tea, lemonade, sandwiches, and cake.

Evening dress is not a requirement of the meetings of the Club.

No discussion on theological subjects or partisan politics shall be allowed.

Business meetings may at any time be called by the President, and he shall call them also when requested by the Executive Committee, provided that notice of such meetings be served upon each member at least forty-eight hours beforehand.

Seven members shall constitute a quorum for the transaction of business.

The annual dues are fixed at three dollars unless otherwise ordered by the Club.

When a member absents himself from eight successive meetings, official inquiry shall be made by the Nominating Committee as to the cause of such absence; and unless satisfactory reasons for it exist, such member shall be considered as having resigned from the Club.

New members shall be called upon to entertain during the season next but one after their election. After that they will be called upon in rotation. They may, however, entertain before they are notified, if they so desire.
